We also focus your attention on the tax aspects of most transactions to ensure that your structure is consistent with your goals and objectives.
We have represented privately held companies in negotiated merger, acquisitions and sales, and private-equity transactions. Using our tax background, we assist on business transactions in connection on all aspects of mergers, acquisitions, sales, reorganizations, restructurings, distributions, and financings for both closely held organizations. We encourage our clients to focus on both the business and tax aspects of the entire transaction because we believe this provides creative and optimal tax planning for our clients.
The scope of our business and commercial planning practice includes:
- Formation of Corporations, Limited Liability Companies, General Partnerships and Limited Partnerships including preparation of Operating Agreements/Partnership Agreements.
- Negotiating Merger Agreements, Stock Purchase Agreements and Asset Purchase Agreements, and related ancillary documentation.
